Business Litigation & Transactions Attorneys in Northern Virginia

Your Business Runs on Agreements, Ownership, and Risk. We Protect All Three.

When a deal is on the table or a dispute is at the door, you need more than a lawyer. You need a strategist who understands the business behind the legal question. That is what we bring to Northern Virginia companies, from formation through their hardest fights.

When the Stakes Are Highest, You Need Judgment, Not Just Representation

Contracts break. Partners fall out. Deals get complicated and growth raises questions no template can answer. In those moments, the difference between a costly mistake and a clean result usually comes down to who you have in your corner and how early you brought them in.

Based in Loudoun County and serving clients across Virginia, Shin Law Office pairs deep legal insight with real business experience and courtroom-tested advocacy. We do not just react to problems. We help you build the agreements, the structure, and the records that keep problems from starting, and we fight hard when they do.

Where We Come In

  • You are starting, buying, or selling a business
  • A contract has been broken, or is about to be
  • Co-owners or partners are in conflict
  • You are signing a lease, a loan, or a major agreement
  • A regulator, auditor, or creditor is asking questions
  • You need documents that will hold up if challenged
A Moment of Honesty

Are You Asking the Right Questions?

Most business disputes are not bad luck. They are unanswered questions that waited too long. Read these honestly. The uncomfortable ones are where your risk lives.

Are your handshake deals quietly exposing you to a lawsuit?
Would the contract you signed last year actually hold up in court?
If your co-owner walked out tomorrow, who controls the company?
Is the lease you are about to sign written for you, or for your landlord?
Could money you already collected be clawed back if a client files for bankruptcy?
Does your corporate paperwork protect your personal assets, or just look like it does?

If any of these gave you pause, that is the conversation worth having. Schedule a consultation and we will work through them with you.

Attorney Insight

“Most business problems I see did not start as legal problems. They started as a clause nobody read, a record nobody kept, or a conversation nobody put in writing. By the time it reaches my desk, the cost has multiplied. The businesses that do best treat a lawyer as part of the plan, not the cleanup. Whether you are forming a company, signing a deal, or staring down a dispute, the earlier we talk, the more options you have.”

Common Questions

Answers Before You Call

What does business litigation and transactions actually cover?
It spans both sides of a company’s legal life: the transactions that build it, such as formation, contracts, deals, and leases, and the disputes that threaten it, such as breach, owner conflicts, and litigation. We handle the full arc, which means we draft with the courtroom in mind and litigate with the deal in mind.
When should a business owner call a lawyer?
Earlier than most do. The cheapest moment to involve counsel is before you sign, before you commit, and before a disagreement hardens into a lawsuit. Early advice usually costs a fraction of late cleanup.
Can you help prevent disputes, not just resolve them?
That is much of the work. Sound formation, clear contracts, and good governance prevent the disputes that otherwise end up in court. We build the structure that keeps you out of trouble, and we are ready to litigate if trouble finds you anyway.
Do you represent plaintiffs or defendants in business disputes?
Both. We pursue claims when you have been wronged and defend you when you are the target. The same command of the facts and the law serves either role.
What kinds of businesses do you work with?
Closely held and family businesses, contractors and federal contractors, professional practices, and growing companies across Northern Virginia, from formation through major transactions and disputes.
Will my matter go to court, or can it settle?
Many business disputes resolve through negotiation, mediation, or arbitration, which can save time and money. We prepare every matter as if it will be tried, which is often exactly what makes a fair settlement possible.
How are your fees structured?
It depends on the matter. Transactional work and litigation are scoped differently. We talk about fees openly at the consultation so you know what to expect before you commit to anything.
Do you serve clients outside Loudoun and Fairfax?
Yes. We are based in Leesburg and Fairfax and serve businesses across Northern Virginia, and we coordinate with out-of-state counsel when a matter crosses state lines.
What if I am being wrongly accused of breaching a contract?
We defend businesses accused of breach by examining the full agreement, the performance history, and the defenses available under Virginia law. The story is rarely as one-sided as a demand letter makes it sound.
How do I get started?
Schedule a consultation. We will discuss your situation, identify the risks and the opportunities, and lay out a clear plan tailored to your business.
